THESE OFFICIAL RULES APPLY TO THE DERING HALL / ELLE DÉCOR / STONE AND SAWYER GIVEAWAY PROMOTION RUN BY DERING HALL, INC ON WWW.DERINGHALL.COM (THE “PROMOTION”). BY ENTERING THIS PROMOTION, YOU REPRESENT THAT YOU HAVE READ AND ACCEPTED THESE OFFICIAL RULES.

OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND DISTRICT OF COLUMBIA WHO HAVE REACHED THE AGE OF MAJORITY IN THEIR RESPECTIVE STATE OF RESIDENCE AT THE TIME OF ENTRY.

1. Sponsor

Dering Hall, Inc., with offices at 330 Seventh Avenue, New York, NY 10001.

2. Promotion Period

The Promotion begins on November 11, 2019 and ends on December 1, 2019 ET (the "Promotion Period").

3. Eligibility

OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND DISTRICT OF COLUMBIA WHO HAVE REACHED THE AGE OF MAJORITY IN THEIR RESPECTIVE STATE OF RESIDENCE AT THE TIME OF ENTRY. Officers, directors, representatives and full time employees of Sponsor, its parent, affiliates or subsidiaries, or their respective advertising, promotion, publicity, production, and judging agencies (collectively, the “Promotion Parties”) and their immediate families and household members and the persons with whom they are domiciled are not eligible to enter or win. Internet access is necessary to participate. VOID WHERE PROHIBITED BY LAW.

4. How to Enter

*No purchase or payment of any kind is necessary to enter the Promotion or win a prize.*

To enter the Promotion, do the following during the Promotion Period:
a. Access the Promotion entry page and fill out an entry form by providing your e-mail address.

*Limit of one (1) entry per email address.* If an entrant sends multiple entries from the same email account or from multiple email accounts during the Promotion Period, only one (1) entry will be counted for that entrant. Entries received before or after the Promotion Period will be void. It is entirely each entrant’s responsibility to observe time zone differences.

No other method of entry will be accepted. Sponsor will not verify or acknowledge receipt of entries. All entries submitted become the sole property of Sponsor and will not be returned. Incomplete entries are void. Sponsor is not responsible for entries that are lost, late, misdirected, incomplete, incomprehensible, illegible, damaged, undeliverable or delayed.

All potential winners are subject to verification by the Sponsor, whose decision is final and binding in all matters related to the Promotion and compliance with these Official Rules. An entrant is not a winner of any Prize, even if the Promotion should so indicate, unless and until entrant’s eligibility has been verified and entrant has been notified that verification is complete. Sponsor will not accept other evidence of winning in lieu of its validation process.

5. Prizes and Approximate Retail Value (ARV)

There will be 1 winner(s) in this Promotion (each, a "Winner"). The Winner shall receive the pair of Tor Table Lamps with an Approximate Retail Value (“ARV”) of US $1,890. In no event will the ARV for any prize, or the total ARV for the Promotion, exceed USD $5,000. Terms and prize conditions subject to change without notice. No substitution, cash equivalent or transfer for any prize (or prize component), except that Sponsor, at its sole discretion, may substitute a prize (or prize component) with a prize of equal or greater value, whether due to the unavailability of a prize (or prize component), or for any other reason. Any depictions of prizes are for illustrative purposes only. All federal, state, or other taxes (if applicable) including, without limitation, income taxes, are the sole responsibility of each winner.

6. Winner Selection and Notification

Winner(s) will be chosen by random drawing conducted by Sponsor or its agents on or about December 2, 2019 from among all eligible entries received during the Promotion Period. A potential prize winner will be notified within 5 days after the drawing by email using the email address provided in his or her entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by any potential winner for any reason. If a potential prize winner does not respond to the winner notification within five (5) days of receipt or declines a prize for any reason, or if the winner notification to a potential prize winner is returned as unclaimed or undeliverable, or if a potential prize winner is found to be ineligible or has not complied with these Official Rules, such potential prize winner will be deemed to have forfeited the prize and an alternate winner may be selected randomly from among remaining eligible entries. Odds of winning a prize depends on the number of eligible entries received by Sponsor.

7. General Conditions

By entering into this Promotion, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and the Promotion Parties, which shall be final and binding in all respects. Failure to comply with these Official Rules may result in disqualification. Except where prohibited by law, entry into the Promotion constitutes permission for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, such entrant's name, username, photograph, likeness, hometown and state for purposes of advertising, trade, promotion and publicity. All personal information submitted in connection with this Promotion will be subject to Sponsor’s privacy policy, located at: http://www.deringhall.com/policy. Sponsor reserves the right, in its sole discretion, to disqualify any individual it (or its authorized designee hosting the Website) finds to be: (i) tampering with, as applicable, the entry process or otherwise with the operation of the Promotion (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device), the Website, or any Web page or Web banner ad related to the Promotion; (ii) acting in violation of the Official Rules; (iii) acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, harass, harm, mislead, or defraud any other individual or entity; or (iv) otherwise in violation of law. Any person attempting to defraud any of the Promotion entries or in any way tamper with the Promotion will be ineligible to win the prize and Sponsor will seek all remedies available to it, including, if appropriate, filing appropriate complaints with legal authorities. If, for any reason, the Promotion or the Website (or any portion thereof) becomes corrupted, or is not capable of running as originally planned, and processing of Promotion entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsor's sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Promotion or the granting of a prize or any component thereof, Sponsor reserves the right, in its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend the Promotion or any portion thereof and to conduct the judging and award the prize from all eligible, salvageable Promotion entries received (if any), prior to and/or after (as appropriate) the action taken by Sponsor or otherwise in a manner that is fair and equitable as determined by Sponsor.

8. Limitation of Liability

Sponsor is not responsible or liable for Promotion entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Promotion entries that are illegible, late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, altered, postage-due, mutilated, destroyed, or otherwise not in compliance with these Official Rules, whether caused by any of the equipment or programming associated with or utilized in the Promotion, or by any technical or human error which may occur in the processing of Promotion entries in the Promotion, or for failure to receive Promotion entries due to transmission failures or technical failures of any kind and such entries will be disqualified. By entering the Promotion, each Entrant irrevocably agrees and acknowledges to forever and irrevocably waive all of his/her rights to claim ambiguity with respect to the Official Rules and to waive all of his/her rights to bring any claim, action, or proceeding against any of the Promotion Parties in connection with the Promotion; and to forever and irrevocably release, indemnify, and hold harmless each of Sponsor, Facebook and their respective subsidiaries, affiliates, officers, directors, employees, agents, shareholders, representatives, successors and assigns (collectively the "Releasees"), from any liability (including, but not limited to, liability for defamation, libel, slander, invasion of privacy, infringement of publicity or any intellectual property rights, any property loss, damage, personal injury, bodily injury, death, expense, accident, delay, inconvenience or irregularity, and any indirect, incidental, consequential, special, punitive or exemplary damages of any kind even if the Releases have been advised of the possibility of such loss or damages), costs and expenses (including, without limitation, reasonable outside attorneys' fees) that may arise from, result from or are in connection with: (a) the Promotion, including but not limited to any Promotion-related activity or element thereof, and the entrant's Promotion entry, participation or inability to participate in the Promotion, (b) the violation of any privacy, personal, publicity or proprietary rights, (c) typographical errors in these Official Rules or any Promotion promotional materials, (d) acceptance, attendance at, participation in, possession, defects in, use, misuse or inability to use the prize (or any component thereof), (e) any change in the prizing (or any components thereof) due to unavailability, business or creative considerations, or due to reasons beyond Sponsor's control, including but not limited to by reason of any acts of God, any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond the Sponsor's control, or as otherwise permitted in these Official Rules, (f) any interruptions in or postponement, cancellation, or modification of the Promotion, (g) human error, (h) incorrect or inaccurate transcription, receipt or transmission of any part of the Sponsor; (i) any system, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider utilized by Sponsor or by an entrant, (j) interruption or inability to access the Promotion, the Website or any other Promotion -related web pages, or any online service via the Internet due to hardware or software compatibility problems, (k) any damage to Entrant's (or any third person's) computer and/or its contents related to or resulting from any part of the Promotion, (l) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other destroyed, incomplete, undeliverable or damaged entries, (n) any wrongful, negligent, or unauthorized act or omission on the part of the Sponsor, or any of their agents or employees, (o) any wrongful, negligent, or unauthorized act of omission on the part of a prize supplier or any of its agents, servants, employees or independent contractors, (p) lost, late, stolen, misdirected, damaged or destroyed prizing (or any element thereof), (q) or any other cause, condition, or event whatsoever beyond the control of Sponsor or its parent, subsidiaries, and affiliated companies. Each entrant hereby acknowledges that the Sponsor has neither made nor is in any manner responsible or liable for any express or implied warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize or any component thereof.

9. Choice of Law

Except where prohibited, entrants agree that all disputes, claims, and causes of action shall be resolved individually, without resort to any form of class action, in an action in a State or Federal court located in New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard for conflicts of law doctrine of any jurisdiction. The invalidity or un-enforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision so long as the general intent of these Official Rules remains in effect. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

10. Winner List

Winner(s) will be announced via email after the end of the Promotion Period.
